aspnetcompiler badly broken after installing vs 2012 update 1

I cannot precompile my web applications during publish after installing vs 2012 update 1.

I get incorrect warnings during publish, and the precompilation fails.

All application precompiled fine before update 1, nothing has changed. All application builds and works fine without precompilation.

Example 1. Normal webform wap project.

ASPNETCOMPILER(0,0): Warning : The following assembly has dependencies on a version of the .NET Framework that is higher than the target and might not load correctly during runtime causing a failure: AjaxControlToolkit, Version=4.1.40412.0, Culture=neutral, PublicKeyToken=28f01b0e84b6d53e. The dependencies are: System.Design, Version=4.0.0.0, Culture=neutral, PublicKeyToken=b03f5f7f11d50a3a. You should either ensure that the dependent assembly is correct for the target framework, or ensure that the target framework you are addressing is that of the dependent assembly.

AjaxControlToolkit not depends at all (in my knowledge) from System.Design!

Example2. A mvc 4 web application.

ASPNETCOMPILER(0,0): Warning : The following assembly has dependencies on a version of the .NET Framework that is higher than the target and might not load correctly during runtime causing a failure: System.Net.Http.Formatting, Version=4.0.0.0, Culture=neutral, PublicKeyToken=31bf3856ad364e35. The dependencies are: System.Net.Http, Version=2.0.0.0, Culture=neutral, PublicKeyToken=b03f5f7f11d50a3a. You should either ensure that the dependent assembly is correct for the target framework, or ensure that the target framework you are addressing is that of the dependent assembly.

???

How can we fix this?
